The co-operative

It started with ten women and a piano.

My great-grandmother ran a lending circle in Puerto Rico. Ten women, each putting in what they could, each taking a turn at the pot. No bank would have looked at any of them.

When my mother was eight, that circle bought her a piano. She became a world-renowned opera singer. I am here because ten women decided to trust each other with money.

They called it La Sociedad. We are building it again – with rules this time, and with everyone who comes through Mosaic able to become an owner.

Being formed, not finished.

The founding documents are drafted – memorandum, rules, four member classes, the whole thing – and they go to a BC co-op lawyer this autumn. We have not incorporated yet, and no shares are being sold to anyone.

Our own rules forbid us from raising a dollar before counsel signs off, which is precisely why we wrote them that way. So this page is an invitation to be counted, not an offer to invest. When there is something to join, you will be the first to know.

What is being built

A co-operative that cannot quietly become something else.

The values are written as the hardest clauses in the document to remove. Changing any of them needs a special resolution plus a separate yes from every class of member, founders included.

One member, one vote

Your vote comes from membership, never from how much money you put in. A founder with a $1 share and an investor at the maximum have exactly the same say.

Returns are capped, and so are loans

The most any investment can pay is the lesser of 8% a year or the Bank of Canada rate plus two points. The same ceiling applies to money lent to us, so nobody can route around it.

Nothing goes to members if it ends

If the co-op ever winds up, debts are paid, shares are returned at what was paid for them, and everything left goes to community organizations that cannot distribute profits either.

Grace before penalty

Before anyone is suspended or removed: written notice, at least thirty days to put it right, and a conversation offered. Declining the conversation can never be held against you.

If you are thinking about investing

This will never make you rich. That is the point.

Non-extraction is not a value we describe. It is a binding limit written into the hardest-to-change part of our rules, and it closes the side doors as well as the front one.

If you need fifteen percent, we are not your investment, and we would rather say so on this page than in a meeting.

Members may also waive a dividend entirely. Anything waived goes to the La Sociedad Fund and cannot be paid to anyone else.

Four ways to belong

Founder Members – intersectional women, transgender, and non-binary founders who come through a Mosaic program. Eligibility is by self-identification alone; we never ask for proof.
Supporter Members – our Aunties, Uncles, Cousins and Madrinas. Coaches, mentors, alumni collectives. The people who give time.
Investor Members – individuals, credit unions and philanthropic organizations whose main contribution is capital.
Partner Members – organizations bringing services, technology, space or distribution.

Seven board seats, split three-two-one-one. Founders hold the largest block, and that cannot be amended away without the founders’ own separate vote.

The La Sociedad Fund

Money that can only ever do one thing.

A named reserve spendable on community capital and nothing else. It cannot be distributed to members, ever – you can only benefit from it by taking part in a program.

Founding Members

Everyone who joins by December 31, 2026 is a Founding Member. Permanently.

It is an honour and nothing more. No extra votes, no extra money, no special treatment – and our rules forbid anyone from ever attaching rights to it.

That is exactly why we can offer it honestly. It is a record that you were here when this was still an idea and a stack of drafts.
